By downloading or using the software or documentation (“Materials”) provided by Universal Instruments Corporation (“UIC”), you (“User”) agree to the following:

1. License Grant
Universal Instruments Corporation grants User a non-exclusive, non-transferable, limited license to use the Materials solely for lawful internal use.

2. Prohibited End-Uses
User shall not use, export, re-export, transfer, or otherwise make the Materials available for any of the following purposes:

  • Development, manufacture, testing, or use of weapons, military equipment, or military applications;
  • Activities involving nuclear, missile, chemical, or biological weapons; – Surveillance, repression, or violations of human rights;
  • the Materials may not be used in, or for the benefit of, any country or region subject to comprehensive embargoes or sanctions, including but not limited to Russia, Belarus, or any other territory designated as embargoed under applicable international laws.
  • Any end-use that is prohibited under applicable laws or that may reasonably be considered sensitive, high-risk, or harmful. User shall not supply the Materials to any third party if there is reason to believe that such use would violate the above restrictions.

3. Termination
Any breach of these terms may result in immediate termination of the license without notice.

4. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Universal Instruments Corporation is incorporated.
